Terms of service (public offer)
Version of [date]. This document is a public offer by [Sole proprietor (FOP) full name], tax ID [RNOKPP], address: [registered address] (the "Contractor"), a Ukrainian sole proprietor, to provide data analytics services on the terms below.
1. Scope
Data analytics services: tracking audit and setup, data source integration, data modelling, development and setup of the DATUMPANEL analytics workspace (dashboard), automated reports and ongoing support (the "Services").
Exact scope, timelines and fees are agreed in a proposal, invoice or written correspondence (email / Telegram), which form part of the agreement.
2. Acceptance
The agreement is concluded when the Client pays the Contractor’s invoice or confirms the proposal in writing (including via messenger or email), in line with Articles 633, 641 and 642 of the Civil Code of Ukraine.
3. Fees and payment
Fees are stated in the invoice in UAH or a foreign currency and paid by bank transfer. The Contractor is a single-tax payer ([single tax group]); no VAT is charged.
Unless agreed otherwise: 50% upfront, 50% on delivery of the first working version. Support is billed monthly in advance.
4. Delivery and acceptance
Work starts once payment and the required (preferably read-only) access are received.
Deliverables are deemed accepted if the Client raises no reasoned objections within 5 business days. A certificate of services can be signed on request.
5. Obligations
The Client provides accurate information and access, a contact person and timely feedback.
The Contractor delivers the Services diligently and on time, keeps Client data confidential (see "Client data processing") and reports anything affecting timelines.
6. Intellectual property
After full payment the Client may use the workspace, reports and configuration built for them for internal purposes, with no time limit or per-user licences.
The Contractor retains rights to generic components, libraries and know-how (including the DATUMPANEL codebase) and may reuse them without Client data.
7. Liability
The Contractor’s total liability is limited to the fees paid for the relevant stage. The Contractor is not liable for third-party service outages (ad platforms, GA4, hosting, etc.), the quality of the Client’s source data, or business decisions made based on the analytics.
Neither party is liable for force majeure.
8. Term and termination
The agreement lasts until obligations are fulfilled. Either party may terminate with 14 days’ written notice; services rendered are paid for.
9. Disputes and law
Disputes are resolved by negotiation and otherwise under the laws of Ukraine.
